Grants for Good Foundation (GFGF
http://grantsforgood.org), a tax exempt organization
under Section 501(c)(3) of the Internal Revenue Code, is registered with
the Department of Justice and Attorney General of California pursuant to
Raffle Registration Number RF0003879 to conduct this Raffle pursuant to
the provisions of California Penal Code Section 320.5, et seq., in order
to raise funds for ongoing charitable purposes.
The Raffle is open to anyone over 18 years of age not prohibited
from participating in charitable raffles by their local, state,
provincial, federal or country laws.
The primary beneficiaries of the Raffle’s net proceeds are nonprofit organizations
located in the San Francisco Bay Area whose programs serve GFGF’s charitable sectors:
at-risk children and teens, the homeless and the elderly. Several beneficiaries have
national affiliations. The Foundation encourages nonprofits to submit grant requests
for future consideration as a part of the Foundation’s ongoing charitable purpose to
fund programs within its charitable sectors. All net proceeds support ongoing programs
of the Foundation and our nonprofit Community Partners.
The Foundation also may grant funds and/or provide charitable services to
deserving individuals and small groups not currently benefited by nonprofit
organizations, in the Board’s sound exercise of discretion. The Foundation
will in the future identify additional nonprofits within its charitable sectors
to benefit through fundraising programs and initiatives, provided that projected
net funds from the current Raffle are not diluted. The purchaser by buying a ticket
is entered into the Raffle and agrees to be bound by the Rules and Regulations for the
Raffle, which are set forth below. GFGF’s interpretation and application of the rules
and regulations shall be final.
The Grand Prize Drawing for the 2010 SF Greater Bay Area Dream
Home Raffle is the Winner’s choice of any single family luxury home in the
SF Greater Bay Area currently available for sale for $1.5 million or more,
plus up to $1 million cash to make the total Grand Prize value of
$2,500,000. Alternatively, the
Winner may elect to receive $1,750,000 cash.
The Grand Prize Drawing will be held Friday, May 20, 2011. Tickets
will not be sold after May 5, 2011. Tickets may be sold-out before that
time. An independent Raffle auditor will supervise the Grand Prize
drawings as well as all other raffle drawings. The drawings for prizes are
open to the public, but the winner need not be present to win.
Drawing dates and locations may be changed in the sole discretion
of GFGF, with changes posted on the website
www.sfbayraffle.com.
Only 40,000 tickets will be sold. The chances of winning any
prize, including the Grand Prize, are based on that number and are at
least 1 in 75. If fewer
tickets are sold, an entrant’s chances improve.
According to the IRS, payments for chances in lotteries, raffles or
similar drawings for valuable gifts and prizes based on chance are not
gifts, and consequently do not qualify as deductible charitable
contributions.
If the Dream Home is awardable according to the Rules and is
chosen by the winner as the Grand Prize, the Grand Prize winner assumes
all fees, local, state and federal taxes, including but not limited to
income taxes based on the value of the home, financing costs, closing
costs, title insurance, transfer taxes and fees, which must be paid when
the Home is transferred to the winner, and costs of hazard insurance,
security and other expenses of ownership.

These tax consequences may apply to other prizes as well. The 2010 SF
Greater Bay Area Dream Home Raffle takes no responsibility for any tax

offer is void where prohibited by law, and all federal, state and local

If local laws are inconsistent with these Rules or the conduct of
this raffle, local laws shall govern.
Terms of Entry
By entering this Raffle, entrants accept and agree:
a) to be bound by all the rules, limitations and restrictions set
forth herein; and b) that their name and/or likenesses may be disclosed to
and used by the news media and may otherwise be used by GFGF for publicity
purposes and in lists of prize winners to be published in area newspapers
and announced on the GFGF Raffle website.
The entrant agrees that he/she is also subject to the laws and
regulations of the jurisdiction of his or her residence.

GFGF’s interpretation and application of these Raffle Rules and
regulations shall be final.
By entering this Raffle each participant releases GFGF, its
directors, officers, employees and agents, and the dream home seller, from
any and all liability for injuries, losses or damages of any kind caused
by participating in the Raffle or winning any prize, or resulting from
acceptance, possession, use or misuse of any prize, and each winner agrees
to indemnify and hold GFGF harmless from any and all losses, damages,
rights, claims or actions of any kind arising in connection with or as a
result of participating in the Raffle or the winner’s acceptance or use of
any prize. Furthermore, by
taking part each participant is deemed to waive and agrees to waive the
provisions of Civil Code Section 1542 which states substantially as
follows: “ A general release does not extend to claims which the creditor
does not know or suspect to exist in his or her favor at the time of
executing the release, which if known by him or her must have materially
affected his or her settlement with the debtor.”
Raffle Tickets
Purchasing Tickets
Tickets cost $150 each. A ticket purchase is not tax-deductible.
An individual can purchase as many tickets as he or she may wish, subject
to availability. Discounts are available for multiple ticket
purchases. Multiple ticket discounts are as follows:

A ticket can be purchased in the name of one, two or three
individuals. The first person listed on the entry form will be emailed a
copy of the ticket with a detachable ticket stub. If no email address is
available, these items will be sent by mail. Any prize and related tax
liability belongs 100% to one person named on a ticket, 50% to each of two
persons named, and 33-1/3% to each of three persons named.
Early ticket purchases will be included in up to four Early Bird
drawings listed below as well as the up to three Grand Prize drawing(s).
Theoretically at least, an early entrant can win a prize in each
and every one of the Early Bird drawings as well as the Grand Prize.
Raffle Drawings and Prizes
Pre-Launch 1000 Super Early Bird
Drawing: This
Drawing rewards those who purchase the first 1000 tickets.
Twenty (20) prizes will be awarded totaling $46,500.
The Grand Prize for this drawing is $25,000 cash.
The chance of winning a cash prize is 1 : 50.
1st 2700 Super Early Bird
Drawing: This
Drawing rewards those who purchase the first 2,700 tickets, including
those who qualify for the Pre-Launch 1000 Drawing.
The five (5) Prizes for this Drawing total $33,000 and include the
Grand Prize all-expenses paid first-class vacation for two to Paris,
France, including airfare and luxury hotel, or the Winner may choose
$25,000 cash. The drawing date will be announced on the Raffle website
www.sfbayraffle.com during the Raffle so as not to conflict with other Early
Bird drawings or the Grand Prize
Drawing.
Early Bird Drawing #2: This Drawing rewards early entrants to the Raffle.
The five (5)
Prizes for this Drawing total up to
$38,000 and the Grand Prize is any 2010 luxury motor vehicle publicly
listed for sale with optional equipment at a price up to $30,000, or the
Winner may choose up to $25,000 cash.
Tickets purchased by November 28, 2010 are eligible for the Early
Bird Drawing #2 (drawing date on or about December 23, 2010).
All tickets timely purchased, including all winning tickets from
the other Early Bird Drawings, will be included in subsequent drawings as
well as the Grand Prize

drawing have a maximum value of $38,000.

Early Bird Drawing #3: This Drawing rewards early entrants to the Raffle.
The five (5) Prizes

total up to $33,000 and the Grand Prize is an all-expenses-paid
first-class vacation for two to Beijing, China, including
airfare and hotel, or the Winner may choose up to $25,000 cash.
Tickets purchased by January 25, 2011 are eligible for the Early
Bird Drawing #3 (drawing date on or about February 18, 2011).
All tickets timely purchased, including all winning tickets from
the other Early Bird Drawings, will be included in this and subsequent
drawings as well as the Grand Prize

Early Bird Drawing #4: This Drawing
rewards early entrants to the Raffle.
The five (5)
Prizes for this Drawing total up to $33,000 and feature the Grand Prize
of $30,000 at publicized retail cost of airplane travel for two on
multiple dates (if desired) anywhere in the world beginning 18 months
following award of this Prize, or $25,000 cash.
Tickets purchased by March 15, 2011 are eligible for the Early
Bird Drawing #4 (drawing date on or about March 31, 2011). All tickets
timely purchased, including all winning tickets from the other Early Bird
Drawings, will be included in this and subsequent drawings as well as the
Grand Prize Drawing.
Prizes for this drawing have a maximum value of $33,000.

Multi-Ticket (MTD) Drawing: This
Drawing rewards entrants who purchase more than one ticket to the Raffle
and awards five prizes
MTD Top-20 Bonus 50/50 Drawing: - This Drawing rewards the twenty (20) entrants who
purchase the most tickets to the Raffle, and awards one cash prize of
50% of the total “net revenue” (defined
below) derived from those purchases.
Purchasers of thirty (30) or more tickets are guaranteed entry into
this Drawing. If MTD Top-20
Bonus 50/50 drawing purchasers are tied, second and subsequent pools of 20
or fewer purchasers will be created and the same 50% prize will be awarded
as determined by funds derived from those 20 or fewer purchasers.
If a subsequent partial pool of fewer than 20 entrants should form
as a result of ties, the first prize in the partial pool shall be the
percentage that the number of entrants in the partial pool bears to 50% of
net proceeds derived from tickets purchased by those in such partial pool.
The odds of winning in each
complete pool shall be one in twenty (1 : 20) or as close an approximation
thereto as is reasonably possible.
The winning odds and/or total pool dollars shall be reasonably
adjusted and/or pro-rated in case of a partial pool.
This drawing is to take place at the time of the Grand Prize
Drawings.
Refer-A-Friend (RAF) Drawing: This
Drawing rewards entrants who refer a friend to the Raffle and subsequently
the referred friend purchases one or more tickets to the Raffle before the
Grand Prize Drawing deadline.
This Drawing awards five prizes to winners totaling up to
$33,000 cash.
This Drawing is to take place at the time of the Grand Prize
Drawings.
RAF Top 20 Bonus 50/50 Drawing:
This Drawing rewards the twenty (20) RAF Drawing entrants who
refer the greatest number of friends, which friends then purchase one or
more tickets to the Raffle before the Grand Prize Drawing deadline.
The Prize for this Drawing is cash in the amount of
fifty per cent (50% ) of the total
net revenue derived from tickets purchased by people referred by the
top 20 individuals who refer the most friends to the Raffle. If the number of RAF
Top-20 purchasers qualifying for this Drawing is a tie, second and
subsequent pools will be created and the same 50% prize will be awarded.
If a subsequent partial pool of fewer than 20 entrants should form
as a result of ties, the first prize in the partial pool shall be the
percentage that the number of entrants in the partial pool bears to 50% of

excluding the Grand Prize itself are in the total amount of up to
$248,200. There are up to 534
prizes that may be awarded in the Grand Prize Drawings alone.
The Grand Prize itself is the total value $2,500,000 Dream Home
plus cash.
Tickets purchased by May 5, 2011 are eligible for the
Grand Prize drawings (drawing
date on or about May 20, 2011).
All tickets timely purchased, including all winning tickets from
the four Early Bird Drawings, will be included in the Grand Prize
drawings. See the Rules below
entitled “Grand Prize”.
Whereas total Grand Prize Drawing prizes, excluding the Grand Prize
itself, are anticipated to be up to $248,200, certain minimum prize
amounts may be applicable based on ticket sales.

GFGF reserves the right to reject any entry form including data
submitted with payment that does not constitute “good funds.” All
defective or physically altered entry forms will be immediately
disqualified by GFGF. Prior to the Grand Prize drawings, GFGF will make a
reasonable effort to notify the individual or other name that submits such
an entry form, or one which has been rejected because the credit card or
check did not clear, that such person’s entry has been rejected, by
attempting to make contact using the information submitted to GFGF on the
purchase request. All orders for tickets for Early Bird drawings must be
received and/or purchased by the indicated deadline. Any orders received
after these deadlines will be held for the subsequent drawings, if
applicable, as well as the Grand Prize drawings. GFGF assumes no
responsibility for communications not received or for lost, late,
misdirected or non-delivered mail, e-mail or fax messages, or for any
other failure to receive orders or deliver receipts prior to the drawing
deadlines. All Drawing dates
may be extended in the exclusive discretion of GFGF with the appropriate
announcement made on the Raffle website
www.sfbayrafle.com.
A Raffle Participant’s sole and exclusive remedy for GFGF’s
breach of these rules shall be limited to the return of the purchase price
paid for his or her raffle ticket(s).
In no event shall either GFGF, its directors, officers, employees,
agents or representatives or third-parties working with or in support of
GFGF, or the dream home seller, be liable to any party for any loss or
injuries to earnings, profits or good will, or for any incidental,
special, punitive or consequential damages of any person or entity,
whether arising in contract, tort or otherwise, regardless of whether the
raffle participant may be advised by others of the possibility of such
damages.
Who Can Buy Tickets
Anyone 18 years of age or older who is not prohibited from
purchasing a raffle ticket by country, state or local laws in the
jurisdiction of his/her residence, may purchase a ticket. Tickets can only
be purchased in the name of individuals (not businesses). GFGF employees
and members of the Board of Directors, and their spouses and children are
excluded from purchasing a ticket and are not eligible to win a prize. All
federal, state, and local laws and regulations apply. The Raffle is void
where prohibited or restricted by law. An affidavit of eligibility will be
required from prize winners.

Tickets with individual ticket numbers will be held for the benefit
of all entrants at GFGF’s offices.
Entrants will receive a confirmation at the time of their ticket
purchase and deposit of funds advising them of their ticket numbers.
Winners need not be present at drawings nor do entrants need their
individual tickets or ticket numbers in their possession at the time of
the drawing.

Any entry form submitted by e-mail will be rejected. All entries
must include payment by check, money order or credit card. GFGF reserves
the right to reject any entry submitted in violation of these Rules.
GFGF’s interpretation of these Rules shall be final.
No refunds will be made except under the following circumstances:
any ticket order with payment received after 40,000 tickets have been
sold, or after May 5, 2011, whichever comes first, will be returned. No
other refunds are available except at the exclusive discretion of GFGF.
GFGF assumes no responsibility for lost, misdirected, late or
non-delivered, or other failure to timely purchase tickets, or for failure
to notify anyone who attempts to purchase a ticket with a defective or
illegible entry form or without good funds. All sales are final. No
payments will be refunded, including payments received from ineligible
parties, except as noted above.
Rules Applicable to All Ticket Purchasers:
Each person who purchases a ticket and/or whose name appears on a
ticket: (a) agrees that GFGF, its directors, officers, employees, agents,
representatives and the home seller are not responsible for any injuries,
losses or damages of any kind arising in connection with, or as a result
of this Raffle and/or that person's failure to win or redeem any prize, or
that person's award of, acceptance of or use of, any prize; and (b)
releases GFGF and agrees to indemnify, defend, protect, and hold harmless
GFGF and its officers, directors, shareholders, employees, agents,
advertising agency, contractors, insurers, attorneys, accountants and
affiliated entities, and the home seller, from and against all losses,
damages, rights, claims and actions of any kind arising in connection
with, or as a result of, this Raffle and/or that person's failure to win
or redeem any prize or that person's award of, acceptance of, or use of
any prize; and (c) represents and warrants that he/she has read and
understands these Rules and agrees to be bound by these Rules and GFGF's
decisions which are conclusive and final concerning these Rules.
Drawings
Grand Prize Drawings
At the Grand Prize drawings, tickets for all prizes except the Grand Prize
will be drawn first, in reverse order, with the total number of prizes
drawn being the number that equals the total number of tickets sold for
the Raffle divided by 75. The exceptions are the MTD and RAF special
drawings, described in these Rules, in which the chance of winning a prize
is greater. The Multi-Ticket
and Refer-A-Friend Drawings and Top-20 MTD and RAF Bonus 50/50 drawings
will be conducted prior to the drawing for the 2nd prize.
The 2nd prize will be drawn immediately prior to the drawing for
the Grand Prize. All such winning tickets will then be re-entered,
together with all other tickets purchased, in the drawing for the Grand
Prize, however, no single ticket is eligible to win more than one of the
prizes in the Grand Prize drawings in addition to the Grand Prize.
Early Bird Drawings
In the Pre-Launch 1000 Drawing, one ticket will be drawn for each
prize in reverse order from prize #20 (drawn first) to the Grand Prize
(drawn last). In each Early
Bird Drawing, including the “1st
2700 Super Early Bird” drawing, one ticket will be drawn for 5th
prize, then another for 4th, another for 3rd prize, another for 2nd prize,
and another for 1st prize. All such winning tickets will then be
re-entered, together with all other tickets purchased, in the drawing for
the Grand Prize, however, no single ticket is eligible to win more than
one prize in any one Early Bird Drawing.
Multi Ticket Drawings
The Multi Ticket Drawing (MTD) and
“Top-20” MTD Bonus 50/50 Drawing will be held at the time of the Grand
Prize drawings.
These Drawings reward individuals who buy more than one
ticket. Purchase two tickets using the same name(s) and address, and you
receive one entry in the Multi Ticket Drawing. Purchase three tickets and
you receive two entries in the Multi Ticket Drawing, etc.
Five prizes are awarded at the MTD and one Grand Prize is awarded
at the “Top-20” MTD Bonus Drawing.
At the Multi Ticket Drawings, eligible tickets will be drawn
beginning with the lowest value prize and ending with the 1st prize. No
individual can win more than one prize in any single Multi Ticket Drawing.
Refer-A-Friend Drawing
The Refer-A-Friend Drawing (RAF) and “Top-20” RAF Bonus 50/50
Drawing will be held at the time of the Grand Prize drawings.
These Drawings reward those who buy tickets and thereafter refer
their friends to the Raffle whose referred friends purchase Raffle
tickets. Five prizes are
awarded at the RAF and one Grand Prize is awarded at the “Top-20” RAF
Bonus 50/50 Drawing. At the
RAF Drawings, eligible tickets will be drawn, beginning with the lowest
value prize and ending with the 1st prize. No individual can win more than
one prize in any single RAF Drawing.
How “Refer-A-Friend” works (the benefit of “spreading the word”):
If you purchase one or more Raffle tickets and after your purchase
you refer one or more other individuals to the Raffle and the friend you
refer buys a ticket and at the time of the purchase lists you as
the person who referred him or her, then you will receive, for each ticket
bought by that individual, one
entry for the Refer-A-Friend Drawing (in addition to being entered into
all other eligible drawings).
Only one person at a time can qualify as the referring friend for each
ticket purchased by the referred friend.
This means, for example, that if two people you refer purchase
one Raffle tickets each (and they both list you as the referral source at
the time they make their purchase), you will be awarded two entries in the
Refer-A-Friend Drawing. If
three people you refer thereafter purchase two tickets each and give your
name at the time of purchase, you are entitled to six “Refer-A-Friend”
entries, and so forth. Either
the main purchaser of a ticket or anyone named on a ticket can be eligible
and qualify as the “referring person” in the RAF drawings provided they
are so named on the entry form of the ticket purchaser at the time of
purchase. A person who buys a
Raffle ticket cannot, however, specify a referral source
after his or her purchase has
been made.
Dates and winners
Drawing dates may be extended at any time at GFGF’s discretion
and without notice. A list of the Raffle winners will be posted at
www.sfbayraffle.com. In addition
to the list of winners posted on the GFGF Raffle website, a list of
winners may be obtained by sending a self-addressed, stamped envelope with
postage fully prepaid to 2010 SF Greater Bay Area Dream Home Raffle,
1550-G Tiburon Blvd., Suite 345, Tiburon, CA 94920, within one week of
each drawing for which a list of winners is requested.
Numbers of tickets
A maximum of 40,000 tickets will be sold. If a minimum of at
least 37,000 tickets have not been sold by May 5, 2011, including any
extension(s) of this date, then all prizes will be awarded except that the
Grand Prize will not be the total value $2,500,000 dream home plus cash,
but instead will be fifty per cent (50%) of "net raffle proceeds”.
“Net raffle proceeds” shall be conclusively defined as the balance
of ticket sales revenue remaining after deduction for all other prizes
(whether or not claimed or awarded) together with all Raffle-related
expenses as determined in the sole discretion of GFGF, whose determination
shall be final and binding.
Winners
Rules Applicable to All Winners
GFGF will make reasonable efforts to contact each winner using
the information on the winning entry form. If a winner cannot be located
within 30 days after a drawing or if any person is ineligible under these
Rules or applicable law, then he/she will not be awarded the prize, no
other ticket will be substituted for that ticket and the prize will be
retained by GFGF. Any prize
not claimed within 60 days after that prize's drawing date will not be
awarded. A person named on a ticket cannot transfer his/her interest in
the ticket.
Each winner is solely responsible for paying and reporting in a
timely manner all taxes and expenses attributable to the prize, whether or
not GFGF withholds taxes or is deemed to have complied fully with
withholding laws. Winners
authorize GFGF to withhold all required amounts and by entering the Raffle
agree to indemnify, defend, protect and hold harmless GFGF from all
related claims.
Each winner agrees that his/her name, likeness, image, voice, and
city of residence may be recorded by audio, video, or digital means and
may be used in any print, audio or visual media, without notice or
compensation, for any purpose, including related to this or any other GFGF
raffle.
In order to collect his or her prize, each ticket winner must,
prior thereto, sign and deliver to GFGF: (a) if required by GFGF, a sworn
affidavit of eligibility (provided by GFGF) in accordance with these Rules
and applicable law, including, without limitation, verification in a form
acceptable to GFGF that he or she is at least 18 years old; (b) such
written information as is required by any applicable tax and/or real
estate laws, including without limitation his or her Social Security
Number or other form of identification acceptable to GFGF; (c) proof of
identity in forms satisfactory to GFGF showing that the 18-year old or
older person claiming the prize is the same person who is named on the
winning raffle ticket; (d) the copy, if delivered to the winner, of
the winning ticket and/or detachable ticket stub; and (e) a publicity
release. Winners of prizes of $600 or more may be required to submit a
Form W-2G, Form 5754 or similar tax form (provided by GFGF) for tax
withholding purposes.
Rules Applicable Only to the Grand Prize Winner
The Grand Prize shall be any single family luxury residence,
listed at a price not less than $1,500,000 and not more than $2,500,000
located in the Greater SF Greater Bay Area currently available for sale at
the time of the Winner’s selection
on the website of McGuire Real Estate, or in which McGuire Real Estate is
allowed to act as Seller or Buyer’s agent. The $2.5 million
total value of the dream home and cash shall be based on the
publicly-listed sale price of the residence chosen by the Winner at the
time of the Winner’s selection as determined by GFGF.
By participating in the Raffle, the Winner is deemed to recognize
that the publicly listed price of the home selected by the Grand Prize
Winner may be more than the actual sales price GFGF is able to negotiate
for purchase of the home. If
the total value of the dream home itself is less than $2.5 million
according to these Rules, the Winner will receive cash to make up the
difference between the dream home’s last publicly listed value and the
$2.5 million amount.
When the Grand Prize is awardable pursuant to these Rules, GFGF
will promptly furnish the Grand Prize Winner all documents necessary to
complete the transaction for the home selected by the Winner as his/her
grand prize, including an agreement of purchase and sale and related
escrow instructions.
GFGF may, in its sole discretion, purchase the Grand Prize home for and on
behalf of the Winner. GFGF in
its discretion will designate the manner of transmitting documents,
whether by e-mail, express mail, courier, etc.
These documents must be completed, signed by everyone named on the
Grand Prize-winning ticket and returned to GFGF and escrow opened within
15 calendar days after the drawing date, announcement of the Grand Prize
Winner and transmittal of documents as described above.
If GFGF does not timely receive the completed documents, then in
such case the winner shall be and is automatically and irrevocably deemed
to have elected not to receive the $2.5 million total value dream home
plus cash, but to have elected instead to receive the alternate cash Grand
Prize in the amount of $1,750,000.
The Grand Prize Winner shall accept the home through an escrow,
without furnishings, in as-is,
where-is condition, and GFGF and the home seller shall have no
liability relating to the home or its location. GFGF and the home seller
make no guarantee, agreement, representation or warranty, express or
implied, in connection with the home, unless and except as required by
law, including any representation as to its value or that it can be sold
for any certain price or within a certain period of time.
The Grand Prize winner shall have the opportunity to inspect and
evaluate potential Grand Prize homes, personally or through the Winner’s
designated representative, at reasonable times prior to selection of the
Winner’s Dream Home. The Grand Prize winner is solely responsible for
paying all charges for escrow and title insurance, homeowners association
dues and assessments, transfer taxes, required withholding amounts, and
any other charges imposed in the sale contract and escrow instructions.
The winner shall also reasonably cooperate in the escrow process, promptly
sign and deliver documents customary for acquiring title to residential
real estate, and cause escrow to close within 20 days after escrow is
opened. The Grand Prize winner acknowledges that government authorities
may place a different value on the home than the value placed thereon by
GFGF or the Seller in determining any income, property, transfer, or other
taxes or fees that may be attributable to the home. If there is a tenant
in the home then the Grand Prize Winner shall either permit a reasonable
time for the tenant's lease to be terminated and the tenant to vacate the
home or shall accept the home subject to that lease. Similarly, the Grand
Prize winner choosing the home shall allow a reasonable time for the
Seller if living therein to vacate the premises.

The prize amounts shown below are maximum amounts payable at the
Grand Prize Drawings, except for the fourth prize and except for MTD
Top-20/50% Bonus and RAF Top-20/50% Bonus Drawings, all of which are
payable in full. Certain
minimum prize amounts may apply as provided in these Rules.

comprised of the Dream Home listed at $1,500,000 or more, plus cash of up

an amount equivalent to 50% of the net revenues derived from those

Prizes #16 & up (to and including Prize #534 if all 40,000 tickets are
sold): $300 each. The total number of $300 cash prizes
is estimated. The final number
of such prizes shall be determined at the time of the Grand Prize drawing
by dividing the total number of tickets sold for the Raffle by 75.
Sufficient numbers of such prizes shall be awarded so as to ensure
that an entrant’s chance of winning any prize in the Grand Prize Drawing
is at least 1 in 75.
The Grand Prize
The Grand Prize is the $2,500,000 total value SF Greater Bay Area
dream home plus cash, referred to in all Raffle materials.
Alternatively, the Grand Prize winner may elect to receive a cash
prize of $1,750,000 (except as stated below).
The Grand Prize winner must make a written election between the
$2.5 million total value dream home plus cash and the alternate $1.75
million cash prize, and transmit it to GFGF and GFGF must receive the
Winner’s election, no later than 5:00 p.m. on the tenth (10th)
day following announcement of the Grand Prize.
A minimum of 37,000 tickets must be sold by 11:59 p.m. on May 5,
2011 for the Winner to be awarded the Grand Prize of the dream home plus
cash or the alternate $1.75 million cash Grand Prize.
If fewer than 37,000 tickets are sold by that date, the Grand Prize
drawings will be held as scheduled and all prizes will be awarded pursuant
to these Rules, with the exception that the Grand Prize winner will
receive a sum equal to 50% of the Net Raffle Proceeds, not to exceed
$1,750,000.
Net Raffle Proceeds will be divided equally between GFGF and the
Grand Prize Winner based on GFGF’s accounting, which shall be final and
conclusive with respect to the Grand Prize Winner.
For these purposes the term “Net Raffle Proceeds” is defined as the
balance of funds remaining after paying all prizes and all Raffle-related
expenses.
Winning Odds
The odds of winning a prize will depend on the number of tickets
sold. If all 40,000 tickets
are sold the odds of winning the Grand Prize is 1 in 40,000 and the chance
of winning a cash prize amounting to at least double the amount of a
Raffle ticket is greater than 1 in 75.

In the unlikely but nevertheless possible event that fewer than 1,500
tickets are sold by the final date for purchase of tickets for the Grand
Prize drawing, the total cash or cash equivalent value of prizes payable
to all prize winners in all drawings as a group, excepting the Grand Prize
Drawings prizes #4 and lower and excepting the two Bonus 50/50 Drawings
prizes, shall be the maximum amount of $40,000.
In the unlikely but possible event that only between 1,500 and
4,999 tickets are sold by such final date, the total cash or cash
equivalent value of prizes payable to all prize winners as a group,
excepting the Grand Prize Drawings prizes #4 and lower and excepting the
two Bonus 50/50 Drawings prizes, shall be the maximum amount of $60,000.
In the unlikely but possible event that only between 5,000 and 9,999
tickets are sold by such final date, the total cash or cash equivalent
value of prizes payable to all prize winners as a group, excepting the
Grand Prize Drawings prizes #4 and lower and excepting the two Bonus 50/50
Drawings prizes, shall be the maximum amount of $80,000.
In the unlikely but possible event that only between 10,000 and
12,499 tickets are sold by such final date, the total cash or cash
equivalent value of prizes payable to all prize winners as a group,
excepting the Grand Prize Drawings prizes #4 and lower and excepting the
two Bonus 50/50 Drawings prizes, shall be the maximum amount of $160,000.
In the above-described events in which fewer than 12,500 tickets
have been sold, all “in-kind” prizes (trips, car, etc.) shall become cash
prizes at the maximum cash amounts shown in the prizes description, and
such prizes shall be paid in accordance with these Rules, including Rules
governing minimum cash prizes awardable in certain events.
Notwithstanding total ticket sales achieved, all Grand Prizes #4
and below, the Pre-Launch 1000, the 1st 2700 Super Early Bird
and the two Bonus 50/50 Drawings prizes, shall be payable in full as set
forth herein, subject to applicable tax withholding laws.
If 12,500 or more tickets are sold by such final date, the total
cash or cash equivalent value of prizes payable to all prize winners in
all drawings as a group shall be the maximum advertised prizes in these
Rules without any minimum amounts applicable.
In each of the circumstances described above in which less than the
total cash or cash equivalent values of prizes is awarded, except as
provided in these Rules a winner’s prize amount shall be determined by
calculating a percentage based upon the ratio that such winner’s
advertised prize amount bears to the total cash or cash equivalent value
of all prizes awarded at all drawings which pay prize amounts less than
the 100% of the total advertised prize amounts, as stated in these Rules.
Rules Applicable to MTD and RAF Top-20 50% Bonus Drawings
The term “net revenue” referred to in these Rules for the MTD Bonus 50/50
Drawing and RAF Bonus 50/50 Drawing shall be conclusively defined as gross
revenues derived relating to those two drawings less 15% for
administrative expense and overhead.
ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THE RAFFLE
AGREEMENTS, OR THE BREACH THEREOF, SHALL BE SETTLED BY BINDING ARBITRATION
ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (PURSUANT TO
EXPEDITED PROCEDURES AND BEFORE ONE SINGLE ARBITRATOR) PURSUANT TO ITS
COMMERCIAL ARBITRATION RULES AND JUDGMENT ON THE AWARD, IF ANY, RENDERED
BY THE ARBITRATOR MAY BE ENTERED IN ANY COURT HAVING JURISDICTION THEREOF.
EACH PARTY TO SUCH PROCEEDING OR RELATED PROCEEDINGS IS RESPONSIBLE
FOR PAYMENT OF HIS/HER ATTORNEYS’ FEES AND COSTS.
